Mode Sign B.V. is a private limited company (Besloten Vennootschap – B.V.) incorporated under Dutch law and registered with the Dutch Chamber of Commerce (KvK) under number 93262663.
These General Terms and Conditions apply to all offers, orders, agreements, and deliveries of Mode Sign B.V., unless explicitly agreed otherwise in writing.
Mode Sign B.V. serves both consumers (B2C) and business customers (B2B). Where specific provisions apply exclusively to consumers or business customers, this is explicitly stated.
2. Definitions
In these General Terms and Conditions, the following terms shall have the meanings assigned to them below:
Agreement: Any agreement concluded between Mode Sign B.V. and the customer regarding the sale and delivery of products.
Customer: Any natural or legal person who enters into an agreement with Mode Sign B.V., whether as a consumer or as a business customer.
Consumer: A natural person acting for purposes outside their trade, business, or profession.
Business Customer: A natural or legal person acting in the course of their trade, business, or profession.
Order: Any order placed by the customer through the website, email, or other communication channels.
Products: All goods offered and supplied by Mode Sign B.V.
Force Majeure: Any circumstance beyond the reasonable control of Mode Sign B.V. that prevents the fulfillment of its obligations, including but not limited to strikes, illness, supply chain disruptions, transport delays, government measures, or technical failures.
3. Applicability
By placing an order, signing a quotation, or otherwise entering into an agreement with Mode Sign B.V., the customer confirms having read, understood, and agreed to these General Terms and Conditions.
Any general terms and conditions of the customer are expressly rejected.
4. Offers and Agreement Formation
All offers and product information provided by Mode Sign B.V. are non-binding unless explicitly stated otherwise.
An agreement is concluded when Mode Sign B.V. confirms the customer’s order by email or when the order is placed and accepted via the website.
Mode Sign B.V. reserves the right to refuse or cancel orders in cases of obvious errors, pricing mistakes, product unavailability, or suspected fraud.
5. Prices and Payment
All prices are stated in euros and include applicable VAT, unless stated otherwise.
Shipping costs and any additional charges are displayed separately during the checkout process.
Payment must be made using the payment methods offered on the website. Orders will only be processed after full payment has been received.
Mode Sign B.V. reserves the right to adjust prices at any time. Price changes do not affect orders that have already been confirmed.
6. Delivery and Shipping
Delivery times provided by Mode Sign B.V. are estimates and not guaranteed deadlines.
Orders are shipped from the Netherlands. The risk of loss or damage transfers to the customer upon delivery to the shipping address provided.
If delivery is delayed, Mode Sign B.V. will inform the customer as soon as reasonably possible.
Shipping costs are borne by the customer unless free shipping is explicitly stated.
7. Right of Withdrawal (Consumers Only)
Consumers have the right to withdraw from the agreement within 14 days from the day of receipt of the products, without stating any reason.
To exercise the right of withdrawal, the consumer must notify Mode Sign B.V. by email within the withdrawal period.
Returned products must be unused, undamaged, and returned in their original packaging where reasonably possible.
The consumer is responsible for return shipping costs.
The right of withdrawal does not apply to custom-made or personalized products.
8. Returns and Complaints
Customers must inspect products upon receipt. Any damage or defects must be reported in writing within a reasonable period after delivery.
If a complaint is justified, Mode Sign B.V. will, at its discretion, replace the product or provide an appropriate solution.
Complaints do not entitle the customer to suspend payment obligations.
9. Intellectual Property
All intellectual property rights relating to the products, designs, packaging, images, and content remain the exclusive property of Mode Sign B.V.
Any unauthorized use, reproduction, or distribution is strictly prohibited.
10. Liability
Mode Sign B.V.’s liability is limited to direct damage and shall never exceed the purchase price of the product concerned, unless mandatory law provides otherwise.
Mode Sign B.V. is not liable for indirect or consequential damages, including loss of profit, data loss, or business interruption.
These limitations do not apply in cases of intent, gross negligence, or mandatory consumer product liability.
11. Force Majeure
In cases of force majeure, Mode Sign B.V. is entitled to suspend or terminate its obligations without liability for damages.
12. Privacy and Data Protection
Mode Sign B.V. processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

13. Amendments
Mode Sign B.V. reserves the right to amend these General Terms and Conditions at any time.
The most current version is always available on www.modesignstudio.nl.
14. Governing Law and Jurisdiction
All agreements are governed by Dutch law.
Any disputes shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
